Signing a bond issue organisation agreement

The Management Board of INPRO SA with its registered office in Gdańsk (the “Company”) informs that an agreement was signed with Michael / Ström Dom Maklerski SA with its registered office in Warsaw (the “Investment Company”) on 22/07/2021 for the organisation of the issue of bearer bonds up to PLN 35,000,000 with the maturity period of 48 months. The bonds will be secured by a contractual real estate mortgage on the real property, that being the “Dom Zdrojowy” hotel located in the Dom Zdrojowy building in Jastarnia. The issue of the bonds will be effected by way of a public offer, without the need to draw up a prospectus or offering memorandum.
The technical agency agreement was also signed with the same entity.
Under the agreements mentioned above, the Investment Company is obliged, without limitation, to prepare documentation for the purposes of the issue, offer the bonds, serve as the authorised adviser for the bonds being issued, to serve as a calculation agent, and represent the Company in acts and proceedings before the National Depository for Securities in relation to bond registration.
The agreements concluded by and between the Company and Investment Company contain standard provisions and are typical agreements entered into in transactions of this type.
The Management Board of INPRO S.A. indicates that the detailed parameters of the issue of the Company's bonds will be laid down after the book building has been completed.
The Company will provide information on the further course of action related to the bond issue in relevant reports.
Detailed legal grounds: Article 17 para. 1 of Regulation of the European Parliament and of the Council (EU) No 596/2014 of 16 April 2014 on market abuse (the market abuse regulation) and repealing Directive 2003/6/EC of the European Parliament and of the Council and Commission Directives 2003/124/EC, 2003/125/EC and 2004/72/EC (also referred to as the MAR).
