The Management Board of INPRO SA with its registered office in Gdańsk, in relation to current reports Nos. 26/2018 of 20/08/2018 and 26/2018/K of 20/08/2018 concerning the decision on the issue of bonds, informs that the bond issue organisation agreement up to PLN 20,000,000 for 3 years was signed on 23/08/2018 with Michael / Ström Dom Maklerski SA with its registered office in Warsaw. The technical agency agreement was also signed with the same entity.
Under the above-mentioned agreements, Michael / Ström Dom Maklerski is obliged, without limitation, to prepare documentation for the purposes of the issue, offer the bonds, fulfil the function of the authorised adviser and calculation agent, and represent the Company in acts and proceedings before the National Depository for Securities, all related to bond registration.
The agreements entered into by and between the Company and Michael / Ström Dom Maklerski contain standard provisions and are typical in transactions of this kind.
The Management Board of INPRO S.A. indicates that the detailed parameters of the issue of the Company's bonds effected as part of the assumptions described in report No. 26/2018 will be fixed after the book building has been completed.
The Company will provide information on the further course of action related to the bond issue in relevant reports.
Detailed legal grounds: Article 17 par. 1 of the Regulation of the European Parliament and of the Council (EU) No 596/2014 of 16 April 2014 on market abuse (the market abuse regulation) and repealing Directive 2003/6/EC of the European Parliament and of the Council and Commission Directives 2003/124/EC, 2003/125/EC and 2004/72/EC (also referred to as the MAR)
