History of transactions in shares

On 10 February 2011, the Management Board of the National Depository for Securities (“KDPW S.A.”), adopting resolution No. 111/11, resolved, among other things, as follows:

1. to grant INPRO SA the status of Issuer in the KDPW Depository,
2. to register in KPDW:

a. 30,030,000 (thirty million thirty thousand) series A ordinary bearer shares of INPRO SA of a par value of PLN 0.10 (ten grosz) each, marking them with code PLINPRO00015, on condition that they are admitted to trading on a regulated market, subject to section 3

b. 10,010,000 (ten million ten thousand) rights to series B ordinary bearer shares of INPRO SA of a par value of PLN 0.10 (ten grosz) each, issued pursuant to Resolution No. 2 of the Company’s Extraordinary Shareholder Meeting adopted on 11 August 2010, marking them with code PLINPRO00023.

On 15 February 2011, the Management Board of the Warsaw Stock Exchange SA (“GPW") by adopting Resolution No. 207/2011 resolved to admit to trading on the parallel market:

1. the following ordinary bearer shares of INPRO SA of a par value of PLN 0.10 (ten grosz) each:

a. 30,030,000 (thirty million thirty thousand) series A shares,

b. 10,010,000 (ten million ten thousand) series B shares,

2. 10,010,000 (ten million ten thousand) rights to series B ordinary bearer shares of INPRO SA of a par value of PLN 0.10 (ten grosz) each.

On 16 February 2011, the Management Board of the Warsaw Stock Exchange (“GPW"), adopting Resolution No. 213/2011 decided to introduce to trading on the stock exchange on the parallel market as of 17 February 2011 (the first quotation date) under ordinary procedure: 10,010,000 (ten million ten thousand) rights to series B ordinary bearer shares of INPRO SA of a par value of PLN 0.10 (ten grosz each, marked by the National Depository for Securities with code PLINPRO00023.

On 11 March 2011, the Management Board of KDPW, adopting Resolution No. 200/11 resolved:

to admit to the Depository of Securities 10,010,000 (ten million ten thousand) series B ordinary bearer shares of INPRO SA of a par value of PLN 0.10 (ten grosz) each, and mark them with code PLINPRO00015,

Pursuant to § 44 of Chapter I of the Detailed Rules of Stock Exchange Trading, the Management Board of the Warsaw Stock Exchange set 21 March 2011 as the final quotation date for 10,010,000 (ten million ten thousand) rights to series B ordinary bearer shares of INPRO S.A. of a par value of PLN 0.10 (ten grosz) each, marked by KDPW S.A. with code ‘PLINPRO00023’.

Pursuant to Resolution No. 331/2011 of the Management Board of the Warsaw Stock Exchange of 17 March 2011 to introduce to stock exchange trading on the Main Market of GPW series A and B ordinary bearer shares of INPRO S.A. resolved:

1. to introduce, as of 22 March 2011, under ordinary procedure, to trading on the stock exchange on the parallel market the following ordinary bearer shares of INPRO S.A. of a par value of PLN 0.10 (ten grosz) each:

a) 30,030,000 (thirty million thirty thousand) series A shares, marked by KDPW S.A. with code ‘PLINPRO00015’

b) 10,010,000 (ten million ten thousand) series B shares, on condition that KDPW S.A. registers these shares on 22 March 2011 and mark them with code ‘PLINPRO00015’

2. to quote shares of INPRO S.A., as referred to in item 1) in the continuous quotation system under the abbreviated name ‘INPRO’ and marking ‘INP’.

On 22 March 2011, at the National Depository for Securities, the following securities of INPRO S.A. were registered:
